These Team Seats Terms and Conditions ("Team Terms") govern the purchase and use of team seat licenses for Superhuman programs, including Superhuman Work and Superhuman Plus (collectively, the "Program") offered by The Uncommon Business LLC ("Company," "we," "us," or "our").
BY PURCHASING TEAM SEATS, THE PURCHASING ORGANIZATION ("CLIENT," "YOU," OR "YOUR ORGANIZATION") AGREES TO BE BOUND BY THESE TEAM TERMS IN ADDITION TO OUR STANDARD TERMS AND CONDITIONS.
1. TEAM SEAT LICENSE GRANT
1.1 License Scope
When you purchase team seats, you are purchasing a specific number of individual user licenses for designated employees of your organization. Each seat grants access to one (1) individual user only for the specific Program tier purchased (Superhuman Work or Superhuman Plus).
1.2 Program Tiers
Superhuman Work: Course access only (12 months)
Superhuman Plus: Course access (12 months) + certification eligibility
Your team seat purchase will specify which Program tier you are purchasing. All seats in a team purchase must be for the same Program tier.
1.3 Seat Assignment Requirements
Each seat must be assigned to a specific, named individual
All seat holders must be current, paid employees or contractors of your organization
Seat assignments must be provided to the Company within 7 days of purchase
Seats may be reassigned only in cases of employee termination or change in role (subject to Section 1.4)
1.4 Seat Reassignment
Seats may be reassigned under the following conditions only:
The original seat holder is no longer employed by your organization
The original seat holder has changed roles and no longer requires access
Reassignment requests must be submitted in writing to [email protected]
Maximum of two (2) reassignments per seat per 12-month period
2. CRITICAL COMPLIANCE REQUIREMENT: PAID TEAM MEMBERS ONLY
2.1 Authorized Users
ONLY PAID TEAM MEMBERS WHO HAVE BEEN EXPLICITLY PURCHASED AND ASSIGNED A SEAT MAY ACCESS THE PROGRAM.
Team seat access is strictly limited to individuals for whom your organization has purchased a license. Under no circumstances may you:
Share login credentials with unpaid team members
Forward Program materials, content, or access links to unpaid team members
Allow unpaid team members to view, access, or use Program materials in any format
Create shared accounts for multiple users
Allow individuals outside your organization to access your team seats
Share certification assessments or assessment materials with unauthorized users
2.2 Absolute Prohibition on Unauthorized Access
This is non-negotiable: If you provide access to, share materials with, or otherwise allow any individual who has not been assigned and paid for a seat to access any portion of the Program:
Your organization will be automatically charged for that individual at the current team seat rate for the applicable Program tier
If payment cannot be processed or is declined, all team seats for your entire organization will be immediately revoked without refund
Your organization may be permanently banned from repurchasing access to any Superhuman programs
2.3 Monitoring and Enforcement
We actively monitor account usage, login patterns, IP addresses, and content access. We employ technical measures to detect:
Credential sharing
Simultaneous logins from multiple locations
Abnormal usage patterns
Content distribution outside authorized users
Assessment irregularities or suspicious completion patterns
Detection of violations will result in immediate enforcement actions without prior warning.
3. CONSEQUENCES OF UNAUTHORIZED ACCESS
3.1 Automatic Charges
If we detect that an individual without a paid seat has accessed the Program:
Your organization will be automatically charged for that individual at the current team seat price for the applicable Program tier
Charges will be processed using your payment method on file
No advance notice will be provided before charging
You waive any right to dispute these charges
3.2 Full Company Revocation Without Refund
If:
Automatic charges are declined or cannot be processed, OR
We detect systematic sharing or intentional circumvention of these Team Terms, OR
Your organization fails to comply with enforcement actions within 48 hours of notification
Then all of the following will occur immediately:
All team seats will be terminated without notice
All user accounts will be deactivated
All certifications earned (Superhuman Plus only) will be voided and revoked
No refund will be issued for any portion of the team seat fees, including unused months
Your organization will be permanently banned from repurchasing team seats or individual access to any Superhuman programs
Outstanding balances become immediately due in full
3.3 No Appeals or Exceptions
There are no exceptions to this enforcement policy. Violations will result in immediate action. Claims of "I didn't know" or "It was an accident" will not be accepted.
4. TEAM SEAT PRICING & PAYMENT
4.1 Initial Purchase
Team seat pricing varies based on Program tier and number of seats

Superhuman Plus team seats: [Contact for pricing]
Minimum purchase requirements may apply
Payment in full is required before seat activation unless alternative payment arrangements are approved in writing
Custom pricing available for organizations purchasing 10+ seats
4.2 Annual Renewal
SuperHuman Work Teams:
Initial purchase: $997 per seat (12 months access)
Annual renewal: $500 per seat
Renewal charges are automatic and will be processed twelve (12) months after initial purchase date
SuperHuman Plus Teams:
Initial purchase: $1,497 per seat (12 months access + certification eligibility)
Annual renewal: $500 per seat (maintains certification validity and course access)
Renewal charges are automatic and will be processed twelve (12) months after initial purchase date
Critical Renewal Terms:
All seats in your team package must renew together — partial renewals are not permitted
Failure to renew results in immediate access termination for all team members
For Superhuman Plus teams: failure to renew results in certification expiration for all certified team members
4.3 Certification Validity Period (Superhuman Plus Only)
CRITICAL: Certification expiration is tied to your purchase date, NOT assessment completion date.
Example: If your organization purchases Superhuman Plus team seats on February 1, 2026, all certifications expire on February 1, 2027
Even if an employee doesn't complete their certification until October 2026, their certification expires February 1, 2027
This structure incentivizes rapid completion and maintains certification integrity
No extensions will be granted based on late completion
To maintain active certification status, the annual $500 renewal must be paid AND the employee must successfully retake the certification assessment each year
4.4 Payment Method
Credit card or ACH payment required
Payment method must remain valid for duration of subscription
You authorize us to charge automatic renewals to your payment method on file
Declined payments may result in immediate service interruption and potential account termination
5. INTELLECTUAL PROPERTY & CONTENT RESTRICTIONS
5.1 Organizational License Restrictions
The team seat license does NOT grant your organization the right to:
Reproduce, copy, or distribute Program content in any format
Create derivative works or training materials based on Program content
Use Program content to train other employees beyond assigned seat holders
Share recorded sessions, screenshots, transcripts, or materials outside assigned users
Incorporate Program frameworks, methodologies, or materials into your own training programs
Share or distribute certification assessments or assessment materials
Use certification status for organizational marketing without written permission
5.2 Strict Anti-Redistribution Policy
All Program content is proprietary and confidential. Unauthorized reproduction or distribution will result in:
Immediate termination of all team seats without refund
Revocation of all certifications (Superhuman Plus)
Legal action to recover damages and seek injunctive relief
Permanent ban from Company products and services
Public disclosure of violation (at Company's discretion)
5.3 Individual Certification Ownership (Superhuman Plus Only)
Certifications are awarded to individuals, not organizations. When an employee leaves your organization:
They retain their certification status (if valid and not expired)
They lose access to the Program unless they purchase individual access
You may not transfer their certification to another employee
Their certification remains valid through the organization's current renewal period only
They must establish their own individual renewal to maintain certification beyond that date
6. REFUND POLICY
6.1 No Refunds Under Any Circumstances
ALL TEAM SEAT SALES ARE FINAL. WE DO NOT OFFER REFUNDS, CREDITS, OR PRO-RATED REFUNDS UNDER ANY CIRCUMSTANCES, including but not limited to:
Employee turnover or termination
Change in business needs or priorities
Unused seats or incomplete course completion
Failure to achieve certification (Superhuman Plus)
Dissatisfaction with Program content
Technical difficulties (we provide support to resolve these)
Cancellation of subscription mid-term
Partial completion or non-use by team members
Termination of seats due to Terms violations
Business closure or reorganization
Budget cuts or financial hardship
Change in leadership or strategic direction
6.2 Cancellation Policy
You may cancel your team seats at any time by providing written notice to [email protected]. However:
Cancellation does NOT entitle you to any refund
Access will continue until the end of your current 12-month term
No pro-rated refunds will be issued for early cancellation
Auto-renewal can be disabled to prevent future charges (must be requested at least 30 days before renewal date)
Certifications (if applicable) remain valid only through the current paid period
6.3 Privacy and Data Protection
Company collects and processes personal information according to Privacy Policy
Enrollee information may be used for program administration and communication
Payment information processed securely through third-party payment processor
Company implements reasonable security measures to protect enrollee data
7. RECORDING, TESTIMONIALS, AND PROMOTIONAL RIGHTS
7.1 Recording Consent
All live sessions, Q&A calls, and program activities are recorded
By enrolling, participants provide explicit consent to be recorded
Recorded content becomes part of program curriculum and may be accessed by future enrollees
Enrollees may not record, screenshot, or capture any program content without express written permission from Company
7.2 Testimonial and Promotional Rights
Company has unlimited rights to use enrollee participation, results, and statements for promotional purposes, including but not limited to:
Written testimonials and case studies
Audio/video recordings from program sessions
Before/after business results and transformations
Photos, videos, and screenshots of enrollee participation
Social media posts and marketing materials
Website content and advertising campaigns
Email marketing and sales materials
7.3 Grant of Rights
Enrollees grant Company:
Perpetual, worldwide, royalty-free rights to use their name, likeness, voice, and business results
Right to edit, modify, or adapt testimonial content for marketing purposes
No additional consent or compensation required for promotional use
Rights survive program completion and access expiration
7.4 Opt-Out Requests
Enrollees may request removal of specific promotional content at Company's discretion
Opt-out requests do not constitute grounds for refund or compensation
Company reserves right to maintain aggregated or anonymized data for marketing purposes
8. DISCLAIMERS AND LIMITATIONS
8.1 Results Disclaimer
NO GUARANTEE OF RESULTS
Company makes no guarantee of specific business outcomes, revenue increases, time savings, or other results
Success depends entirely on enrollee implementation, market factors, and individual circumstances
Testimonials and case studies represent individual results and are not typical or guaranteed
Past enrollee results do not predict future performance or outcomes
Enrollee assumes all risk associated with implementation of program strategies
8.2 Educational Nature
Program content is educational and informational in nature
Not a substitute for professional legal, financial, tax, or business advice
Enrollees should consult appropriate licensed professionals for specific guidance
Company not responsible for business decisions made based on program content
8.3 Liability Limitations
Company's total liability limited to fees paid by enrollee for program enrollment
Company not liable for:
Lost profits, revenue, or business opportunities
Business decisions or implementations based on program content
Technical difficulties or access interruptions
Third-party platform failures (Slack, Zoom, payment processors)
Indirect, incidental, or consequential damages of any kind
8.4 Third-Party Tools and Resources
Program may reference third-party tools, software, or resources
Company not responsible for third-party service availability, performance, or costs
Enrollee responsible for compliance with third-party terms of service
Company not liable for changes to third-party tools that affect implementation
8.5 AI and Technology Disclaimer
Program teaches implementation of AI and automation technologies
Rapid evolution of AI technology may affect program content relevance
Company not responsible for changes to AI platforms, tools, or capabilities
Enrollee responsible for ensuring AI implementation complies with applicable laws and regulations
9. TERMINATION POLICIES
9.1 Voluntary Withdrawal
Enrollees may withdraw from program at any time
Withdrawal does not relieve enrollee of payment plan obligations
No refunds issued for voluntary withdrawal under any circumstances
Access terminates immediately upon withdrawal notification
Outstanding payment plan balance remains due and payable
9.2 Involuntary Termination
Company reserves right to terminate enrollment immediately for:
Violation of intellectual property restrictions (Section 4)
Breach of community standards (Section 5)
Non-payment after 14-day grace period (Section 2.3)
Behavior detrimental to community or program experience
Misrepresentation during enrollment process
Any conduct Company deems harmful to business or community
9.3 Effects of Termination
Upon termination (voluntary or involuntary):
Immediate loss of access to all program materials and resources
Removal from Slack community and all platforms
Forfeiture of any remaining access period
Outstanding payment obligations remain due and payable
No refunds or credits issued under any circumstances
9.4 Re-Enrollment Policy
Terminated enrollees may not re-enroll until next available cohort enrollment window
Re-enrollment subject to Company approval at sole discretion
Previous violations may disqualify from future enrollment
Re-enrolling members subject to full current program pricing
No exceptions, credits, or discounts for previous payments
10. LEGAL PROVISIONS
10.1 Governing Law
These Terms governed by laws of the State of Minnesota, USA
Exclusive jurisdiction and venue in Minnesota state or federal courts
Enrollee consents to personal jurisdiction in Minnesota
10.2 Dispute Resolution
Binding Arbitration:
All disputes resolved through binding arbitration per American Arbitration Association rules
Arbitration conducted in Minnesota
Arbitrator's decision is final and binding
Each party bears own attorney fees unless otherwise awarded by arbitrator
Class action waiver: disputes must be brought individually, not as class actions
10.3 Limitation of Actions
Any claim must be filed within one (1) year of claim arising
Claims not filed within limitation period are permanently barred
10.4 Entire Agreement
These Terms constitute complete agreement between parties
Supersedes all prior agreements, understandings, or representations
Modifications must be in writing and signed by Company
Enrollment communications subject to these Terms
10.5 Severability
If any provision deemed unenforceable, remaining provisions remain in full effect
Unenforceable provisions modified to nearest enforceable interpretation
10.6 Waiver
Company's failure to enforce any provision does not constitute waiver
Waiver of one breach does not waive future breaches
All waivers must be in writing
10.7 Assignment
Enrollees may not assign or transfer program enrollment or access
Company may assign rights and obligations with notice to enrollees
Terms bind and benefit parties and permitted successors
10.8 Force Majeure
Company not liable for delays or failures due to circumstances beyond reasonable control
Force majeure events include: natural disasters, pandemics, government actions, internet failures, or other unforeseeable events
Company will make reasonable efforts to resume normal operations
10.9 Survival
The following provisions survive program completion or termination:
Intellectual Property Rights (Section 4)
Confidentiality (Section 6)
Promotional Rights (Section 7)
Disclaimers and Limitations (Section 8)
Legal Provisions (Section 10)
11. MODIFICATIONS AND UPDATES
11.1 Terms Updates
Company may update these Terms with 30 days advance notice via email
Continued participation after notice period constitutes acceptance of updated Terms
Material changes may require explicit enrollee consent
Most current Terms always available on Company website
11.2 Program Changes
Company reserves right to modify program structure, content, and delivery methods
Changes made to maintain program quality, relevance, and legal compliance
Enrollees notified of significant program modifications via email
No compensation or refunds for program modifications
11.3 Pricing Updates
Program pricing for future programs may change without notice
Price changes do not affect existing enrollments or payment plans
Promotional pricing offered at Company's sole discretion

13. PROGRAM ADMINISTRATION & MANAGEMENT
13.1 Team Administrator Role
Your organization will designate one (1) primary Team Administrator who will:
Manage seat assignments and reassignments
Serve as primary contact for billing and support matters
Ensure compliance with these Team Terms
Receive notifications regarding account status and renewals
Monitor team member progress and completion (optional)
13.2 Administrator Responsibilities
The Team Administrator is responsible for:
Ensuring only authorized, paid team members receive access
Preventing unauthorized sharing or distribution of content
Promptly reporting suspected violations
Maintaining accurate employee roster and seat assignments
Ensuring timely renewal payments
Communicating Program requirements and deadlines to team members
13.3 Company's Right to Audit
We reserve the right to:
Request verification of seat holder employment status at any time
Audit account usage and access patterns
Request documentation proving authorized use
Terminate access if verification is not provided within 5 business days
Review certification assessment completion for irregularities
14. SUPPORT & SERVICES
14.1 Technical Support Right
Team seat purchasers receive:
Email support at [email protected]
Access to Program support resources and documentation
Assistance with account setup and seat management
Standard response time of 2-3 business days
14.2 What is NOT Included
Team seats do NOT include:
One-on-one coaching or consulting
Custom training or materials development
Priority or expedited support
On-site training or implementation assistance
Dedicated account management
Guaranteed certification pass rates
Certification exam preparation beyond course materials
14.3 Upgraded Support Options
Enterprise support packages may be available for organizations with 10+ seats. Contact us for pricing and details.
15. LIMITATION OF LIABILITY
15.1 Maximum Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY'S TOTAL LIABILITY TO YOUR ORGANIZATION FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TEAM TERMS OR THE PROGRAM SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOUR ORGANIZATION FOR TEAM SEATS IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM.
15.2 Excluded Damages
IN NO EVENT SHALL THE COMPANY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
Loss of profits or revenue
Loss of business opportunities
Cost of substitute services or training
Loss of data or access to materials
Employee training costs
Damage to business reputation
Opportunity costs from failed certifications
Costs associated with employee turnover
Even if we have been advised of the possibility of such damages.
15.3 Business Tool Disclaimer
The Program is provided as an educational resource. Results vary based on individual and organizational implementation. We make no guarantees regarding:
Employee performance improvements
Business outcomes or revenue increases
Certification pass rates (Superhuman Plus)
Return on investment
Skill acquisition or retention
Employee satisfaction or engagement
15.4 Certification Disclaimer (Superhuman Plus Only)
Certification demonstrates completion of Program requirements and passage of assessments at a specific point in time. It does NOT:
Guarantee job performance or competency
Replace professional judgment or experience
Create liability for the Company regarding certified individuals' work
Constitute professional licensing or accreditation
Guarantee employability or career advancement
16. TERMINATION
16.1 Your Right to Terminate
You may terminate your team seats at any time by providing written notice. However, termination does NOT entitle you to any refund (see Section 6).
16.2 Our Right to Terminate
We may terminate your team seats immediately, without notice, without refund, and without liability if:
You violate any provision of these Team Terms
You share access with unauthorized users
Your payment method is declined or fails
We detect fraudulent activity or misrepresentation
Your organization engages in conduct that harms our reputation or business
We detect assessment irregularities or cheating (Superhuman Plus)
You fail to respond to audit requests within required timeframes
16.3 Effects of Termination
Upon termination:
All seat holders immediately lose access to the Program
All certifications are voided and revoked (Superhuman Plus)
No refunds will be issued
Outstanding balances become immediately due
Your organization may be banned from future purchases
Team administrator access is revoked
All Program materials must be deleted from organization systems
17. PROGRAM-SPECIFIC TERMS
17.1 Superhuman Work Teams
Course access for 12 months from purchase date
No certification component
Annual renewal at $997 per seat maintains access to updated content
Focus on foundational AI implementation and productivity systems
17.2 Superhuman Plus Teams
Course access for 12 months from purchase date
Certification assessment eligibility included
Initial purchase: $1,497 per seat
Annual renewal: $500 per seat
Renewal includes: continued course access + certification validity maintenance
Certified employees must retake assessment annually to maintain active certification
Certification valid only while seat renewal is current
75% pass rate required on scenario-based assessments
Failed assessments may be retaken (limits may apply)
17.3 Mixing Program Tiers
Organizations may not mix Program tiers in a single team purchase. If you need both Superhuman Work and Superhuman Plus seats:
Separate purchases are required
Separate billing and renewal dates apply
Employees may upgrade from Superhuman Work to Superhuman Plus (contact us for pricing)
Downgrades from Superhuman Plus to Superhuman Work result in certification revocation
ACKNOWLEDGMENT AND ACCEPTANCE
BY COMPLETING THE SUPERHUMAN WORK, SUPERHUMAN PLUA AND/OR TEAM SEAT PURCHASE, YOUR ORGANIZATION ACKNOWLEDGES THAT:
You have read and understood these Team Terms in their entirety
You agree to be bound by these Team Terms and will ensure all team members comply
You understand that ONLY paid team members with assigned seats may access the Program
You understand that providing access to unpaid team members will result in automatic charges or full company revocation without refund
You accept the no-refund policy under all circumstances
You understand Program tier differences (Superhuman Work vs. Superhuman Plus)
You understand that certification validity is tied to purchase date, not completion date (Superhuman Plus)
You understand that violations result in immediate termination without refund and potential permanent ban
You accept full responsibility for ensuring compliance with these Team Terms
You authorize automatic renewal charges unless cancellation is requested 30+ days before renewal date
IF YOUR ORGANIZATION DOES NOT AGREE TO THESE TEAM TERMS, DO NOT PURCHASE TEAM SEATS.

Your enrollment constitutes your electronic signature and binding acceptance of these Terms.
These Team Seats Terms and Conditions are effective as of the date your organization completes the team seat purchase.
